In structural modification processes carried out by corporate entities, the application of civil liability rules has become a very useful instrument to protect the interests of partners, creditors and workers, together with ability to challenge corporate agreements. This can be carried out not only through certain specific compensation mechanisms available under special sectoral legislation, but also through the general institutional rules. This article analyses the nature and requirements of such compensatory actions.
